Introduction
StashPile ("we", "us", "our") is operated from the European Union. These Terms and Conditions ("Terms") govern your use of the StashPile browser extension, the stashpile.dev website, and the backend services that power authentication and sync (collectively, the "Service").
By installing the extension, visiting the website, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. We also recommend that you read our Privacy Policy, which describes how we collect and use your data.
Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
StashPile is not intended for use by anyone under 16. We do not knowingly accept users under 16. If we become aware that a user is under 16, we may terminate the account.
Description of the Service
StashPile is a bookmark management solution that allows you to:
- Save and organize bookmarks (page title, URL, favicon) in folders and collections.
- Use the extension in a free, local-only mode without creating an account. In this mode, all data stays on your device.
- Create an account to sign in with email-based one-time password (OTP) authentication.
- Subscribe to the Pro plan to enable cloud sync: your bookmarks, folders, and collections are stored on our servers and synced across your devices in real time.
Features, availability, and pricing may change over time. We will describe the current offering on the website and in the extension.
Accounts and Registration
To use account-based features (including sync), you must create an account and provide a valid email address. You are responsible for maintaining the confidentiality of access to your email and to your browser/device. You are responsible for all activity that occurs under your account. You must notify us promptly at general@stashpile.dev if you suspect unauthorized use of your account.
We may suspend or terminate your account if you breach these Terms or if we are required to do so by law or to protect the Service and other users.
Subscriptions and Payments
Pro Plan
Cloud sync and related server-side features require an active subscription to the Pro plan. Subscription terms (e.g., billing interval, price) are presented at the time of purchase on our payment provider's checkout page.
Payment Processor
Payments are processed by Polar (https://polar.sh). By subscribing, you also agree to Polar's applicable terms and payment policies. We do not store your payment card details; all payment data is handled by Polar.
Billing and Renewal
Subscriptions renew automatically according to the plan you selected (e.g., yearly) until you cancel. You will be charged at the start of each billing period. You can manage or cancel your subscription (e.g., turn off renewal) through Polar's customer portal or as otherwise indicated in the extension or on the website.
Refunds and Cancellation
Refund and cancellation policies are governed by Polar and any applicable law. For questions about charges or refunds, contact Polar or us at general@stashpile.dev. We will work with Polar to resolve billing disputes where appropriate.
Price Changes
We may change subscription prices with reasonable notice. If you do not agree to a price change, you may cancel before the next billing date. Continued use after the change constitutes acceptance of the new price.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable laws or regulations.
- Use the Service to store, share, or promote illegal content, or content that infringes third-party intellectual property or other rights.
- Attempt to gain unauthorized access to the Service, our systems, or other users' accounts.
- Use automated means (e.g., bots, scrapers) to access the Service in a way that burdens our infrastructure or degrades the experience for others, except as we explicitly allow.
- Reverse engineer, decompile, or attempt to extract source code of the Service (except to the extent permitted by applicable law).
- Resell or sublicense the Service, or use it to build a competing product, without our prior written consent.
We may suspend or terminate your access if we reasonably believe you have violated these rules.
Your Content and Data
You retain ownership of the content you add to the Service (e.g., bookmarks, folder and collection names). By using the Service, you grant us a limited license to store, process, and transmit your content solely to provide and operate the Service (including sync, backup, and technical operations). This license continues for the duration of your use of the Service and for a reasonable period thereafter to allow for deletion and backup procedures.
We do not use your content for advertising, and we do not sell your content or personal data. Our use of personal data is described in our Privacy Policy.
Intellectual Property
Except for your content, the Service (including the extension, website, API, design, text, graphics, and software) is owned or licensed by us. You may not copy, modify, distribute, or create derivative works from our materials without our prior written permission. You may use the Service only as permitted by these Terms.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.
Limitation of Liability
To the maximum extent permitted by applicable law:
- We (and our affiliates, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, profits, or goodwill) arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
- Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or, if you have not paid us, fifty euros (€50).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless StashPile and its affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) your content, or (c) your violation of these Terms or any applicable law.
Termination
You may stop using the Service at any time. You may request deletion of your account and associated data by contacting us at general@stashpile.dev (see our Privacy Policy for account deletion).
We may suspend or terminate your access to the Service, or your account, with or without notice, if we believe you have breached these Terms or for other operational or legal reasons. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
If your subscription is canceled or expires, you will lose access to cloud sync. Your data may be retained for a limited period as described in our Privacy Policy; you are responsible for exporting any data you wish to keep before cancellation or expiration.
Governing Law and Disputes
These Terms are governed by the laws of the European Union and the member state from which we operate, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in that jurisdiction, except where prohibited by mandatory consumer protection laws in your country of residence.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify users through the extension or via email where appropriate.
Your continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and may request account deletion.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
